Effective date
§ 1. GENERAL PROVISIONS AND DEFINITIONS
- These Terms of Service ("Terms") govern the access to and use of the Services provided by the Service Provider and constitute a legally binding agreement between the User and the Service Provider.
- The Services are intended only for individuals who meet the minimum age required under the laws applicable in their country or state of residence. Under no circumstances may a person under the age of 13 use the Services. Where applicable law requires parental or legal guardian consent, the User represents and warrants that such consent has been obtained prior to using the Services.
- Unless expressly stated otherwise, all references to dates and times in these Terms shall be interpreted according to Central European Time (CET/CEST), as applicable in the Republic of Poland.
- The capitalized terms used in these Terms shall have the following meanings:
- (a) Account - an individual account created for the User that enables access to and use of the Services.
- (b) Agreement - the agreement for the provision of electronic services concluded between the User and the Service Provider under these Terms.
- (c) Billing Period - the recurring monthly or annual period for which Subscription fees are charged, commencing on the date the Subscription is activated.
- (d) Business Day - any day from Monday through Friday, excluding public holidays observed in the Republic of Poland.
- (e) Consumer - a natural person acting for purposes outside their trade, business, craft or profession, or any person granted equivalent protection under mandatory provisions of applicable law.
- (f) Content - any text, graphics, maps, images, software, code, databases, audio, video, information, presets, lower thirds, or other materials made available through or processed by the Services.
- (g) Cookies - small data files stored on the User's device for purposes including authentication, security, functionality, preferences, analytics and other purposes described in the Privacy Policy.
- (h) Data Controller - the entity determining the purposes and means of processing Personal Data in accordance with applicable data protection laws.
- (i) Enterprise Seat - an individual user access permit allocated within an Enterprise Plan enabling authorized access to the Application.
- (j) LHM Cloud - the cloud storage infrastructure provided by the Service Provider to store User presets, custom CSS code, configurations, asset libraries, and broadcast templates.
- (k) LHM Network - the public discovery and directory platform operated within the Website where Users can create public professional profiles, display portfolios, link media, and promote services.
- (l) LHM Plus Badge - a visual status indicator assigned to active paid Subscribers within LHM Network, signaling verified access to premium tools and professional capabilities.
- (m) MCP Server - Model Context Protocol server integrated into the Application enabling local programmatic control and AI-driven automation.
- (n) Merchant of Record (MoR) - an authorized third-party entity (specifically Lemon Squeezy or Stripe Managed Payments) acting as the legal reseller, merchant of record, and tax collector for designated User transactions.
- (o) Password - a confidential sequence of characters used to authenticate the User and secure access to the Account.
- (p) Personal Data - any information relating to an identified or identifiable natural person, as defined under applicable data protection laws.
- (q) Plan - a subscription tier (Personal, Professional, Enterprise) specifying the features, functionalities, usage limits, seats, and other conditions applicable to the Services.
- (r) Pricing - the current fees, subscription plans, seat pricing, and related information published on the Website https://lhm.gg/pricing or otherwise communicated by the Service Provider.
- (s) Privacy Policy - the document describing the rules governing the processing of Personal Data, the use of Cookies and other privacy-related matters. The Privacy Policy forms an integral part of these Terms.
- (t) Registration - the process of creating an Account and concluding the Agreement.
- (u) Payment Processor - any third-party payment service provider or Merchant of Record designated by the Service Provider to process payments for the Services.
- (v) Scout AI Package - a term-limited access pass granting a specific quota of AI processing hours (20 hours or 120 hours) valid for a fixed, non-extendable period.
- (w) Services - all electronic services, software applications (including Lexogrine HUD Manager and LHM Studio), digital content, local APIs, cloud features, LHM Network, and functionalities provided by the Service Provider through the Website or Application.
- (x) Service Provider - Michał Majka, conducting business under the business name Michał Majka Neurogrine, with its registered office at ul. Armii Krajowej 7/14, 30-150 Kraków, Poland, VAT Identification Number (NIP): 6772308416, REGON: 369467404.
- (y) Subscription - paid recurring access to a selected Plan or allocated Enterprise Seats for the applicable Billing Period.
- (z) Third Party - any natural person, legal person or other entity other than the User or the Service Provider.
- (aa) User - any natural person or legal entity accessing or using the Services, whether or not registered.
- (bb) User Content - any text, graphics, logos, images, custom CSS code, presets, layout configurations, portfolio media, or other materials submitted, created, uploaded, or modified by the User within the Services or LHM Network.
- (cc) Username - the unique identifier assigned to or selected by the User for the purpose of identifying the Account.
- (dd) Website - any website, domain, subdomain, web application or online platform operated by or on behalf of the Service Provider through which the Services are made available.
§ 2. TECHNICAL REQUIREMENTS, REGISTRATION AND AUTHENTICATION
- Access to the Services requires a hardware device with Internet access, a supported web browser (supporting WebAuthn and WebSockets), and software compatible with OBS Studio or vMix where broadcast overlay integrations are utilized.
- Certain functionalities of the Services require the User to create an Account, log in, or maintain an active Subscription.
- Registration of an Account is free of charge. During Registration, the User shall provide accurate, complete, and up-to-date information and keep such information updated throughout the duration of the Agreement.
- Authentication Options: The User may register and authenticate their Account using:
- Email address and Password combination;
- Third-party authentication providers (SSO): Google Account, LinkedIn Account, Steam Account, or GitHub Account;
- Passkeys (WebAuthn).
- Security & 2FA: Users authenticating via Email and Password may set up Two-Factor Authentication (2FA) via an authenticator app and reset their password within Account settings. The User is solely responsible for maintaining the confidentiality of their login credentials and for all activities performed through their Account. The User shall promptly notify the Service Provider if they become aware of any unauthorized access to or use of their Account.
- Third-Party SSO Disclaimer: The Service Provider relies on external APIs to facilitate third-party logins (e.g., Steam OAuth, Google SSO). The Service Provider shall not be liable for access disruptions or login failures caused by outages, security protocols, or restrictions imposed by such external authentication providers.
- Technical support relating to the Services is provided exclusively by electronic means at lhm@lexogrine.com on Business Days. The Service Provider will use reasonable efforts to respond to support requests without undue delay but does not guarantee any specific response or resolution time.
§ 3. TYPES AND SCOPE OF THE SERVICES
- Lexogrine HUD Manager (LHM) & Game Integrations:
- The Service Provider provides HUD management and telemetry integration tools for esports titles, including Counter-Strike 2 (CS2), League of Legends (LoL), Dota 2, Valorant, Rocket League, PUBG Mobile, and Apex Legends.
- Features include a no-code editor for modifying HUD appearances, sizing, shapes, colors, and positioning, as well as applying custom CSS overrides. Functionalities also encompass statistics comparison, live match management, X-Ray signals, LHM Cameras, LHM Replays, and tournament data screens.
- Each layout combination may be saved as an individual preset within LHM Cloud.
- LHM Studio & Broadcast Overlays:
- The Service Provider offers broadcast overlay and production features ("LHM Studio") tailored for esports and non-esports broadcasts, including interviews, studio talk shows, starting/ending/break screens, multi-participant video grids (2, 3, 4+ guests), and lower third info overlays.
- LHM Studio incorporates dedicated broadcast management sections (Overlays, People) and components such as Social Badges (Instagram, X, YouTube, Twitch, Kick, LinkedIn), external sponsor image boxes, and preset export capabilities for OBS Studio and vMix.
- External API Integrations: LHM Studio enables integration with external third-party APIs to present dynamic overlay data, including sports APIs (ESPN, NHL, MLB, OpenLigaDB, Ergast/Jolpica F1) and exchange/prediction market APIs (Polymarket API, Kraken API).
- External API "AS IS" & Compliance Disclaimer: Data fetched from external APIs is rendered strictly "AS IS". The User assumes sole legal responsibility for ensuring that displaying live market rates, odds, or financial data complies with local laws, advertising restrictions, and gambling regulations applicable in the broadcasting jurisdiction.
- Local Internal API & MCP Server:
- Users holding an active paid Plan are granted access to a local internal API and an MCP (Model Context Protocol) server running on the User's local network instance.
- The internal API enables programmatic command delivery, and the MCP server enables local connections with MCP-compatible tools (such as AI chat assistants) to execute automated broadcast actions.
- LHM Cloud & Data Retention Policy:
- Active paid Subscriptions include storage in LHM Cloud for saved HUD presets, layout configurations, custom CSS stylesheets, uploaded images, and asset libraries.
- PERMANENT DATA DELETION WARNING: Upon the cancellation, non-renewal, or termination of a paid Subscription, access to LHM Cloud features is disabled, and all stored presets, configurations, graphic assets, and custom CSS code in LHM Cloud may be permanently and irrevocably deleted from the Service Provider's servers.
- LHM Network & Public Profiles:
- The Service Provider makes available LHM Network, a directory allowing Users to build and publish a public business profile to promote their broadcast services, skills, portfolio, and contact information.
- Rich Media: Users may upload cover graphics, link external portfolio items, social links, and showcase custom overlay work.
- LHM Plus Badge: Users maintaining an active paid Subscription receive the "LHM Plus" designation on their public profile, indicating access to professional LHM tools and advanced capabilities. The LHM Plus Badge is automatically revoked or hidden if the underlying Subscription expires or is canceled.
- Profile Content Responsibility: The User is solely responsible for all media, claims, portfolio assets, and contact details published on their LHM Network profile. The Service Provider does not endorse, verify, or guarantee the quality of commercial services advertised by Users on LHM Network.
- Forum:
- The Service Provider may make available a community forum through the Website, subject to the rules set out in § 6.
§ 4. SUBSCRIPTION PLANS, SEAT MANAGEMENT, FEES AND REFUND POLICY
- Currencies & Pricing: Fees are published in the Pricing at https://lhm.gg/pricing and are billed in Euros (EUR), United States Dollars (USD), or Polish Złoty (PLN).
- Subscription Tiers: Personal Plan, Professional Plan, and Enterprise Plan (customizable from 1 to an unlimited number of Enterprise Seats).
- Enterprise Seat Management: Enterprise subscribers may purchase or cancel additional Seats at any time. Monthly Seats are billed monthly; annual Seats are pro-rated for the remaining annual term.
- Plan Upgrades & Downgrade Restrictions: Plan upgrades take effect immediately upon payment of the pro-rated difference. Downgrading an active Subscription to a lower tier during an ongoing Billing Period is strictly prohibited. Cancellations take effect solely upon the expiry of the active Billing Period.
- Scout AI Packages (Term-Limited Access Pass): 20-Hour (valid for 45 days) and 120-Hour (valid for 90 days) packages. Upon validity expiration, all unused AI hours automatically and permanently expire without refund or credit.
- Payment Processing & Merchant of Record (MoR): EU business and EU consumer transactions are processed directly by the Service Provider via Stripe. Non-EU consumer orders are processed via designated MoR entities (Lemon Squeezy or Stripe Managed Payments), acting as official reseller and tax collector.
- Consumer Right of Withdrawal Waiver: Where a Consumer purchases a Subscription or Scout AI Package and requests immediate performance, the Consumer expressly acknowledges forfeiting their statutory right to withdraw once digital service delivery has commenced.
- Bank Fees and Currency Conversion: The Service Provider is not responsible for international transaction fees or exchange rate fees imposed by the User's financial institution.
- Promotions and Discounts: Promotional offers cannot be combined unless expressly stated otherwise and do not guarantee locked pricing for future renewals.
- Payment Failures: If a payment fails, access to paid features may be suspended until full payment is received.
- STRICT REFUND POLICY:
- General Non-Refundability: All payments made to the Service Provider or Payment Processor are final and non-refundable.
- System Error Exceptions Only: Refunds are issued exclusively and strictly in cases where a monetary charge occurred due to a verifiable technical error on the part of the Service Provider's system (e.g., duplicate billing for the same transaction, or automated billing occurring after a verified and timely cancellation request).
- Refund Procedure: All refund requests must be submitted in writing in accordance with the detailed Refund Policy procedure published at https://lhm.gg/refund-policy. Requests based on user change-of-mind, lack of usage, or failure to cancel prior to renewal are strictly non-refundable.
§ 5. DURATION, ACCOUNT DELETION AND TERMINATION
- The Agreement concerning free Account access remains effective indefinitely until terminated.
- Subscription Agreements auto-renew for subsequent Billing Periods unless canceled by the User prior to the renewal date via Account settings.
- Either party may terminate the Agreement or suspend access immediately if the User materially breaches these Terms, fails to pay fees, or engages in unlawful activity.
- The User may request Account deletion at any time via Account settings ("Delete Account").
- Immediate Deactivation (Soft Delete): Upon initiating the deletion request, the Account is immediately deactivated, public visibility (including LHM Network profiles) is hidden, and active Subscriptions are terminated.
- Erasure of User-Generated Content (30 Days): Saved HUD presets, broadcast layouts, custom CSS stylesheets, uploaded graphics, and temporary cloud storage files are permanently erased from active production servers within thirty (30) days from the deletion request.
- Security, Audit & Legal Claims Retention (3 Years): Notwithstanding the erasure of User-Generated Content, the Service Provider retains Account identification data, transaction logs, security audit trails, telemetry signatures (including SHA-256 machine identifiers), workspace event records, and system usage logs for a period of up to three (3) years following Account deletion. This retention is maintained pursuant to GDPR Art. 6(1)(f) and Art. 17(3)(e) to (a) enable the investigation, prevention, and prosecution of fraud, abuse, cyber threats, or unlawful activity; (b) establish, exercise, or defend against legal claims under applicable law (including the 3-year limitation period for business claims under the Polish Civil Code); (c) respond to mandatory legal requests, subpoenas, or orders issued by courts, law enforcement agencies, or public authorities.
- Statutory Tax & Accounting Retention (5 Years): Transaction records, invoices, payment receipts, and billing attributes processed directly or via Merchants of Record are retained for five (5) years starting from the end of the calendar year in which the tax liability arose, as mandated by statutory tax and accounting laws.
- Survival Clause: Provisions concerning Intellectual Property (§ 10), Limitation of Liability (§ 11), Non-Refundability (§ 4), Dispute Resolution (§ 12), and Legal Claims Retention (§ 5) shall survive Account deletion and termination of the Agreement.
§ 6. USER RIGHTS AND OBLIGATIONS
- The User has the right to use the Services in accordance with these Terms, the selected Plan, and Applicable Law.
- The User undertakes to:
- (a) Provide accurate, complete, and up-to-date information during Registration and maintain such information throughout the period of using the Services;
- (b) Use the Services only for lawful purposes and in accordance with these Terms, the intended purpose of the Services, and Applicable Law;
- (c) Maintain the confidentiality of login credentials and take reasonable measures to prevent unauthorized access to the Account;
- (d) Immediately notify the Service Provider if the User becomes aware of unauthorized access to the Account, misuse of the Services, or any security vulnerability affecting the Services;
- (e) Ensure that any Content submitted, uploaded, published, or otherwise made available through the Services complies with these Terms and does not infringe the rights of Third Parties;
- (f) Use the Services in a manner that does not adversely affect the security, availability, functionality, or performance of the Services or the experience of other Users.
- The User strictly shall NOT:
- (a) Use the Services for unlawful purposes or activities that violate Applicable Law;
- (b) Access, use, or attempt to access another User's Account, credentials, or private information without authorization;
- (c) Share, transfer, sell, resell, sublicense, or otherwise provide access to the Account, Enterprise Seats, or Subscription to any Third Party, unless expressly permitted by the selected Plan or agreed with the Service Provider;
- (d) Reverse engineer, decompile, disassemble, modify, copy, or attempt to discover the source code, algorithms, or underlying structure of the Website, Application, or Services, except where such restriction is prohibited by mandatory provisions of Applicable Law;
- (e) Use automated systems, including bots, crawlers, scrapers, scripts, or similar technologies, to access, collect data from, monitor, or interfere with the Services, unless expressly authorized by the Service Provider;
- (f) Introduce malware, viruses, malicious code, or any other harmful technologies into the Services or systems connected with the Services;
- (g) Interfere with, disrupt, or impose an unreasonable burden on the infrastructure, networks, or systems used to provide the Services;
- (h) Circumvent technical limitations, access restrictions, security measures, or authentication mechanisms implemented by the Service Provider;
- (i) Use the Services or LHM Network to create, distribute, broadcast, or promote content that:
- Violates Applicable Law;
- Infringes Intellectual Property Rights, privacy rights, or other rights of Third Parties;
- Promotes terrorism, violent extremism, organized crime, or other criminal activities;
- Promotes, facilitates, or advertises illegal gambling, unlawful betting services, or other prohibited gambling-related activities;
- Promotes fraud, scams, phishing, identity theft, or deceptive practices;
- Contains malware, ransomware, spyware, or other malicious software;
- Promotes discrimination, hatred, harassment, threats, or violence against individuals or groups;
- Contains child sexual abuse material or promotes exploitation of minors;
- Promotes the sale, distribution, or manufacture of illegal drugs, weapons, counterfeit goods, or other prohibited products or services;
- Constitutes spam, unauthorized advertising, unsolicited commercial communications, or misleading promotional content;
- (j) Impersonate another person, entity, or organization or falsely represent an affiliation with any Third Party;
- (k) Use the Services to collect, process, or distribute personal data of other persons without an appropriate legal basis;
- (l) Use the Services in a manner that may expose the Service Provider, other Users, or Third Parties to legal, regulatory, security, or reputational risks.
§ 7. RIGHTS AND OBLIGATIONS OF THE SERVICE PROVIDER
- The Service Provider shall provide the Services in accordance with these Terms and Applicable Law.
- The Service Provider does not actively monitor User Content except where necessary to provide technical support, investigate security violations, enforce these Terms, or comply with legal obligations.
- The Service Provider may modify, update, or improve the Services provided core paid functionalities are not materially degraded.
- Emergency Suspension: The Service Provider reserves the right to immediately suspend access to any Account or LHM Network profile without prior notice to mitigate imminent security threats, illegal activity, or severe system disruption.
- Feedback Usage: The Service Provider may freely use technical feedback, reviews, or feature suggestions provided by Users without restriction or compensation.
§ 8. DATA PROTECTION AND PRIVACY
- Personal Data processing conducted by the Service Provider acting as a Data Controller is governed by Applicable Data Protection Laws (GDPR) and the Privacy Policy available on the Website at https://lhm.gg/privacy-policy.
- B2B Data Processing & DPA (Art. 28 GDPR):
- To the extent that the User (acting as a Data Controller or Data Processor) processes, uploads, hosts, or stores Personal Data of Third Parties (including but not limited to players, team roster members, broadcast guests, staff, or workspace users) through LHM Cloud, LHM Studio, or the Application, the Service Provider processes such data on behalf of the User in the capacity of a Data Processor pursuant to Article 28 GDPR.
- The processing of Personal Data carried out by the Service Provider on behalf of the User is strictly governed by the (DPA), which is incorporated by reference into these Terms and forms an integral, legally binding part of the Agreement between the User and the Service Provider.
- The full text of the DPA is available and accessible at https://lhm.gg/dpa. By accepting these Terms or utilizing paid Plans, LHM Cloud, or Enterprise features, the User agrees to, executes, and binds itself to the terms of the DPA.
- The Service Provider engages third-party subprocessors (including cloud infrastructure providers, payment processors, and hosting facilities) bound by written data processing agreements providing no less protection than those specified in the DPA.
§ 9. COMPLAINTS AND TECHNICAL SUPPORT
- Complaints regarding Service operation, billing, or technical issues must be submitted to lhm@lexogrine.com.
- Complaints will be reviewed and responded to in writing within 14 days of receipt.
§ 10. INTELLECTUAL PROPERTY RIGHTS, DESKTOP SOFTWARE EULA & GAME TRADEMARK DISCLAIMERS
- Provider Ownership: The Service Provider retains all right, title, and interest in and to the Website, Application, LHM Studio, LHM Cloud, LHM Network platform, binary executables, source code, UI/UX designs, algorithms, proprietary overlays, and documentation (collectively, "Michał Majka Neurogrine IP"). Except for the limited operational license explicitly granted herein, no ownership, title, or intellectual property rights are transferred to the User under these Terms.
- Grant of Desktop Software License (EULA):
- Subject to the User's ongoing compliance with these Terms and maintenance of an active Account, the Service Provider grants the User a limited, non-exclusive, non-transferable, non-sublicensable, personal, and revocable license to download, install, and execute the binary object code version of the LHM desktop application on local hardware owned or controlled by the User.
- Mandatory Authentication: Execution and operation of the desktop application are strictly contingent upon successful user authentication. The Software will not function without an active login session tied to a valid Account.
- Plan Scope: The extent of local features and cloud data retrieval (including overlays, team/player rosters, and match telemetry) is determined strictly by the permissions associated with the User's assigned Plan (e.g., Free Plan vs. Paid Subscriptions).
- Software Restrictions & Protection of Integrity: The User shall not, directly or indirectly, nor permit any third party to:
- Decompile, reverse engineer, disassemble, decrypt, attempt to derive the source code of, or extract underlying assets from the desktop application, LHM Studio, or LHM Cloud;
- Modify, adapt, translate, tamper with, or create derivative works based upon the Software or overlay assets;
- Bypass, disable, circumvent, or tamper with any digital rights management (DRM), authentication protocols, feature flags, license key checks, or rate limits embedded in the Software or its cloud communication endpoints;
- Rent, lease, lend, sell, sublicense, redistribute, host, or commercially exploit the binary installer or executable files to third parties;
- Use automated bots, scrapers, or unauthorized interception software to extract data or streaming assets directly from the desktop application's local websocket/GSI feeds or cloud backend outside the intended user interface.
- Automatic Software Updates: The Service Provider may periodically develop and deploy automatic updates, hotfixes, patches, or feature enhancements to the desktop application. The User consents to such automatic downloads and updates, acknowledging that installing the latest version may be required to retain application functionality or cloud synchronization.
- User License to Provider: The User grants the Service Provider a non-exclusive, worldwide, royalty-free license to host, display, and execute User Content and LHM Network profile assets solely to deliver, operate, and market the Services.
- Feedback and User Suggestions:
- If the User submits, communicates, or transmits to the Service Provider any ideas, recommendations, feedback, feature requests, bug reports, custom scripts, technical improvements, or proposed modifications regarding the Services, Application, Website, LHM Studio, or LHM Cloud - whether via email, support channels, community forums, survey forms, or otherwise ("Feedback") - such Feedback is provided voluntarily and on a strictly non-confidential basis.
- The User hereby grants the Service Provider an absolute, perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, sublicensable (through multiple tiers), and unrestricted right and license to use, copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, incorporate, and commercialize such Feedback for any purpose whatsoever (commercial or non-commercial), without restriction, obligation of accounting, prior consent, credit, attribution, or compensation to the User.
- The Service Provider shall be under no obligation to implement, maintain, or keep confidential any Feedback, nor shall the implementation of any Feedback grant the User any ownership interest, intellectual property rights, or royalty claims in the Services or Application.
- To the maximum extent permitted by applicable law, the User irrevocably waives and agrees never to assert any moral rights (autorskie prawa osobiste), economic rights, or proprietary claims against the Service Provider or its successors in connection with the development, modification, or commercial exploitation of any features based on or incorporating such Feedback.
- Third-Party Game Trademarks & Telemetry Disclaimer:
- CS2, Dota 2 (Valve Corporation), League of Legends, Valorant (Riot Games, Inc.), Apex Legends (Electronic Arts Inc.), Rocket League (Psyonix LLC / Epic Games), and PUBG Mobile (KRAFTON, Inc.) are registered trademarks of their respective owners. The Service Provider is an independent vendor and is not sponsored, endorsed, or affiliated with any game publisher.
- The LHM desktop application processes local Game State Integration (GSI) data and broadcast parameters provided by third-party game clients. The Service Provider does not warrant uninterrupted compatibility between the Software and third-party game clients, anti-cheat mechanisms (e.g., VAC, Vanguard), or game publisher API modifications.
§ 11. LIMITATION OF LIABILITY AND DISCLAIMERS
- GAME PUBLISHER RESTRICTIONS AND BANS: The Service Provider accepts ZERO LIABILITY for decisions, account bans, or restrictions imposed on the User by game publishers or anti-cheat platforms resulting from the use of LHM or telemetry tools.
- External APIs & LHM Network Disclaimer: External API data and commercial listings on LHM Network are provided "AS IS". The Service Provider is not liable for stream delays, inaccurate market odds, or disputes arising between Users and clients engaged through LHM Network.
- Local API & MCP Server Liability: The Service Provider is not liable for broadcast failures or data loss caused by third-party scripts or AI models connected to the local internal API or MCP Server.
- General Limitation: To the maximum extent permitted by law, the Service Provider shall not be liable for indirect, consequential, or punitive damages, lost profits, or lost streaming revenues.
§ 12. FINAL PROVISIONS, LANGUAGE AND DISPUTE RESOLUTION
- GOVERNING LANGUAGE & AI TRANSLATIONS:
- English is the official, sole legally binding, and controlling language of these Terms, the Website, and all contractual documentation.
- Any translations of the Website, Application, or these Terms into languages other than English are generated automatically using Artificial Intelligence (LLM) for convenience purposes only.
- Automated translations may contain inaccuracies, errors, or discrepancies. In the event of any conflict, ambiguity, or inconsistency between a translated version and the official English text, the English language version shall strictly prevail and control.
- Amendments: Material changes to these Terms will be notified 14 days in advance via an in-app notice. During this 14-day transition period, Users may temporarily defer acceptance; thereafter, continued access to the Account and Services strictly requires explicit in-app acceptance of the revised Terms. Non-material changes (typo corrections, technical clarifications) take effect immediately upon publication.
- Governing Law: These Terms shall be governed by and construed under the laws of the Republic of Poland, subject to mandatory local consumer rights.
- B2B Jurisdiction: Any disputes with non-Consumer Users shall be submitted exclusively to the court having jurisdiction over the Service Provider's registered office (Kraków, Poland).
- Class Action Waiver: All B2B claims must be brought individually, and Users explicitly waive any right to initiate or participate in class action litigation.
- Severability: If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect.
